EmpoorioChain: Terms & Conditions

1. Scope

These Terms govern your use of the EooniaWallet and related services («Services») provided by Empoorio Limited («Empoorio», «we», «us»), a company incorporated under the laws of Estonia. They apply to all users, whether or not registered.

2. Modification of Terms

We may update these Terms due to changes in Services, technology, or regulations. Updates will be posted on our website with a revised «Last Updated» date, effective 14 days after posting (or immediately for legal or new function updates). Continued use constitutes acceptance; otherwise, you must stop using the Services.

3. Eligibility and Agreement

You must be 18+ and not previously suspended from our Services to use them. You may not use the Services if located in, or a resident of, jurisdictions where use is illegal or prohibited by Empoorio (e.g., jurisdictions under U.S. sanctions like Cuba, Iran, North Korea, Sudan, or Syria). Using the Services signifies your agreement to comply with these Terms and applicable laws.

4. Empoorio Account

To use the Services, you must register an EooniaWallet Account, providing accurate information in Latin characters and keeping it updated. You are responsible for securing your account (e.g., protecting your password) and all activities under it, whether authorized or not. Notify us at support@empoorio.com of any unauthorized access. Accounts are for your use only (or your entity’s, if authorized), and Empoorio may limit or refuse account creation at its discretion.

5. Suspended Accounts

Empoorio may suspend your EooniaWallet Account at its discretion for reasons like inconsistent identity information, compliance reviews, or third-party/authority requests. During suspension, you may be unable to access funds.

6. Identity Verification

Empoorio may require identity verification (e.g., name, address, government ID in Latin characters) and screening against governmental watchlists. You authorize us and third parties to verify your identity and take necessary actions, including restricting access if verification fails. Empoorio is not liable for any resulting inability to use the Services.

7. Recovery Policy

Empoorio will not recover deposits or withdrawals made to incorrect addresses, in incorrect currencies, or with missing/incorrect MEMOs. You are solely responsible for ensuring transaction accuracy.

8. Our Privacy Policy

Our Privacy Policy outlines how we handle your personal information and is incorporated into these Terms.

9. Risk Disclosures; Assumption of Risks; Release of Empoorio

DMS and its Underlying Technology are complex and carry risks, including: loss of value due to minting, forks, attacks, or regulatory actions; potential cancellation or double-spending; and volatility from market manipulation or third-party actions. PoV and DMS Tokens are interchangeable on the same smart contract, may be inflationary, and can be burned at Empoorio’s discretion, impacting value. You assume all risks of using DMS, including loss of funds or inability to trade, and release Empoorio from liability for such risks.

10. User Content

You grant Empoorio a perpetual, royalty-free, worldwide license to use, modify, and distribute your User Content (e.g., messages, photos) shared via the Services. User Content may be visible to others, and you must not share content you don’t have rights to or that violates these Terms. Empoorio may remove User Content at its discretion.

11. General Service Terms

The Services support only DMS; Empoorio is not responsible for other cryptocurrencies sent to EooniaWallet. You are responsible for accurate transactions, and Empoorio may delay or restrict deposits/withdrawals per regulatory requirements. Withdrawal fees are shown on the confirmation screen. Services may be modified or discontinued with notice. Empoorio does not guarantee DMS value and is not liable for transaction errors. Empoorio acts as a custodian of DMS without ownership rights.

Prohibited uses include illegal activities (e.g., fraud, money-laundering), disruptive actions (e.g., malware, hacking), or unauthorized access. Violation may lead to suspension. You must provide a valid mobile number for SMS authentication (standard rates apply). You represent compliance with export controls and U.S. sanctions, and Empoorio may restrict access if violated.

12. Intellectual Property

Empoorio and its licensors retain all rights to the Services and content («Empoorio Materials»). You are granted a limited, nonexclusive license for personal/business use, subject to these Terms. Feedback you provide becomes Empoorio’s property for unrestricted use. Empoorio’s trademarks (e.g., Empoorio logo) are protected, and third-party trademarks belong to their owners.

13. Third-Party Content

Third-Party Content on the Services is provided for convenience. Empoorio does not endorse or control it, and your interactions with it are at your own risk.

14. Disclaimer of Warranties

Services are provided «as is» with no warranties. Empoorio disclaims all implied warranties (e.g., merchantability, fitness for purpose), and is not liable for errors, interruptions, or security issues, to the extent permitted by law.

15. No Advice

Empoorio does not provide financial, legal, investment, insurance, or tax advice. Information is for general purposes only, and you are responsible for evaluating transactions.

16. Compliance with Law; Taxes

You must comply with all applicable laws, including tax obligations, related to your use of the Services.

17. Indemnification

You agree to indemnify and hold Empoorio, its affiliates, and agents harmless from claims, costs, or damages arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

18. Limitation of Liability

Empoorio is not liable for indirect, incidental, or consequential damages (e.g., lost profits, data loss) arising from the Services, with total liability capped at the greater of $100 or the fees paid in the incident month, to the extent permitted by law.

19. Release

You release Empoorio from liability for disputes with other users or third-party actions, to the fullest extent permitted by law.

20. Transfer and Processing Data

We may process, transfer, and store your data in the U.S. or other countries, where local laws may differ. See our Privacy Policy for details.

21. Severability

If any provision of these Terms is invalid or unenforceable, it will be enforced to the maximum extent permitted, and other provisions will remain in effect.

22. Arbitration of Disputes and Governing Law

You and Empoorio agree to arbitrate disputes arising from these Terms or Services (except for IP-related equitable relief), preventing court lawsuits or jury trials. Disputes must be notified within 30 days to support@empoorio.com, followed by informal resolution attempts. Arbitration will occur in Estonia under the Arbitration Law, 2012, with a single arbitrator. Estonian courts have exclusive jurisdiction over appeals or non-arbitrable suits. These Terms are governed by Estonian law, excluding conflict of law principles. No class actions or representative proceedings are permitted. Arbitration proceedings are confidential unless disclosure is legally required. Claims must be filed within one year, or they are barred.

23. Unclaimed Property

After a period of inactivity, Empoorio may report or remit DMS held in your EooniaWallet Account per applicable unclaimed property laws.

24. No Waiver

Empoorio’s failure to enforce any right or provision does not waive that right or provision.

25. Assignment; Entire Agreement

Empoorio may assign these Terms in connection with a merger, sale, or affiliate transfer. These Terms, with incorporated agreements, form the entire agreement between you and Empoorio, superseding prior agreements.
